Effective date: September 16, 2024

These Terms and Conditions ("Agreement") are a legally binding contract between you ("the User") and Biztory ("the Company") regarding the use of the TabMove Lite software ("the Software"). By downloading, installing, or using the Software, you agree to be bound by these Terms and Conditions.

1. Ownership of the intellectual property

All intellectual property rights, including but not limited to copyrights, trademarks, and proprietary information in the Software, are and shall remain the exclusive property of Biztory. You acknowledge that you do not acquire any ownership rights by using the Software.

2. License Grant

Subject to your compliance with these Terms and Conditions, Biztory grants you a non-exclusive, non-transferable, and revocable license to use the Software. This license is provided solely for your internal, non-commercial use and is not for resale or distribution.

3. Prohibited Uses

You are expressly prohibited from the following actions:

• Copying, modifying, or distributing the Software without written permission from Biztory.
• Reverse engineering, decompiling, disassembling, or otherwise attempting to discover the source code or underlying algorithms of the Software.
• Removing, altering, or obscuring any proprietary notices or labels on the Software.

4. Confidentiality

You agree to keep confidential all proprietary and non-public information disclosed to you by Biztory or contained within the Software. You may not disclose such information to third parties without the prior written consent of Biztory.

5. Limitation of Liability

To the maximum extent permitted by law, Biztory shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of your use or inability to use the Software, even if Biztory has been advised of the possibility of such damages.

6. Termination

Biztory reserves the right to terminate your access to the Software at any time and without notice if you breach any of these Terms and Conditions. Upon termination, you must immediately cease all use of the Software and destroy any copies in your possession.

7. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of Belgium. Any disputes arising out of or in connection with this Agreement shall be resolved through binding arbitration, conducted in Antwerp.

8. Acceptance of Terms

By downloading, installing, or using the Software, you acknowledge that you have read and understood these Terms and Conditions and agree to be bound by them. If you do not agree with any part of this Agreement, you must not use the Software.

9. Entire Agreement

These Terms and Conditions constitute the entire agreement between you and Biztory with respect to the use of the Software and supersede any prior agreements, whether oral or written.
